Terms of Service

Welcome to UnityCoop. These Terms of Service ("Terms") govern your access to and use of the UnityCoop Cooperative Management System and related services. By registering, logging in, or otherwise using the platform, you agree to be bound by these Terms. If you are using the service on behalf of a cooperative or organization, you represent that you have authority to bind that entity to these Terms.
Eligibility and Accounts
You must be at least 18 years old and have the legal capacity to enter into contracts to use UnityCoop. Accounts may be created by cooperatives, administrators, or members as permitted by the application. You are responsible for providing accurate and complete information and for keeping your account credentials secure. You must notify us promptly of any unauthorized access or use of your account.
Use of the Service
We grant you a limited, non-exclusive, non-transferable license to use UnityCoop for lawful cooperative management purposes. You agree to:
- Use the service only in compliance with these Terms and applicable laws.
- Not misuse, abuse, or attempt to gain unauthorized access to the platform or any data.
- Not use the service for fraud, money laundering, or any illegal activity.
- Respect the rules and policies of your cooperative and the roles assigned to you (e.g., admin, member).
We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe harms the service or other users.
Payments and Fees
UnityCoop does not offer or process online payments. The application does not accept credit card, debit card, or other direct payment processing. Any subscription or usage fees for the platform are agreed separately between you (or your cooperative) and the service provider.
Users may submit payment-related information and attachments (e.g., proof of payment, deposit slips) within the platform. Such submissions are for manual verification by cooperative administrators and/or designated members only. We are not responsible for the accuracy, timing, or outcome of any manual verification or for any third-party payment channels, banks, or remittance services you use. All verification and reconciliation of payments are the responsibility of your cooperative.
Intellectual Property
UnityCoop, including its name, logo, design, and underlying software, is owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of content you submit (e.g., cooperative data, member information); by submitting it, you grant us a license to use, store, and display that content as necessary to operate and provide the service.
Disclaimers
The service is provided "as is" and "as available." We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy of calculations, reports, or outcomes of manual verification performed by users or cooperative staff. You use the service at your own risk.
Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of or inability to use UnityCoop. Our total liability for any claims related to the service shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless UnityCoop and its affiliates, officers, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights or applicable law.
Termination
We may suspend or terminate your access to UnityCoop at any time for breach of these Terms, for operational or legal reasons, or otherwise at our discretion. Your cooperative administrator may also revoke your access within the cooperative. Upon termination, your right to use the service ceases. We may retain and use data as permitted by our Privacy Policy and applicable law.
Changes to the Terms
We may amend these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or a notice in the application. Continued use of UnityCoop after the effective date of changes constitutes acceptance of the revised Terms.
Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of the Philippines, unless otherwise required by mandatory law.
